Terms - La Vestalia

1. La Vestalia agrees to provide the following fashion styling services to the Client (the "Services"). La Vestalia may from time to time expand the list of Services offered or provide additional Services upon request from a Client:

Personal shopping
Closet organization
Wardrobe consultation
Event styling
Virtual styling

2. The Client agrees to pay La Vestalia for the Services requested. All payments shall be made through the La Vestalia website. Client is responsible for any bank fees incurred by La Vestalia as a result of failure of any payment method elected by Client.

3. The Client agrees to reimburse La Vestalia for pre-approved expenses, including but not limited to clothing purchases, travel, and shipping costs.

4. Clothing and accessories recommended by La Vestalia will be purchased by Client directly from the vendor. If Client is dissatisfi ed with a purchase for any reason, La Vestalia will assist Client in communicating with the vendor to return or exchange such clothing and/or accessories. If deliveries of clothing and/or goods are delayed or damaged, La Vestalia will assist Client in communicating with the vendor in order to obtain a satisfactory resolution.

5. Client acknowledges that La Vestalia may receive compensation from vendors of clothing and accessories purchased by Client arising from the Services provided by La Vestalia.

6. Client agrees to provide accurate sizing, preferences, and any necessary information to La Vestalia. Results may vary based on individual preferences and availability of fashion items. If any adjustments or alterations are required, La Vestalia will assist Client in obtaining such adjustments. La Vestalia will endeavor to confi rm that the Client’s desired goods and products are in stock with the vendor, but La Vestalia is not responsible if such goods or products are unavailable. La Vestalia will confi rm availability at the request of the Client subject to vendor’s right to sell its products in the ordinary course of business.

7. La Vestalia is not liable for any allergic reactions, fabric sensitivities, or damages resulting from recommended clothing and accessories.

8. All work product generated by La Vestalia, including but not limited to sketches, mood boards, drawings, photographs, lookbooks, and other digital images are the property of La Vestalia and will be retained by La Vestalia in all events.

9. La Vestalia or Client may terminate the engagement of La Vestalia at any time upon ten (10) days’ notice. Any fees for completed Services remain payable upon termination.

10. In no event shall La Vestalia be liable to Client for any consequential, exemplary or punitive damages. In the event of any breach or default by La Vestalia hereunder, or in the event of any dispute in connection with the Services provided by La Vestalia, La Vestalia’s maximum liability to Client shall be the amount of fees paid by Client to La Vestalia. In the event of any litigation between the parties, the prevailing party shall be entitled to recover its reasonable attorney’s fees and court costs.

11. If any term or provision hereof is held to be invalid, illegal, or unenforceable, such invalidity, illegality, or unenforceability shall not affect any other term or provision hereof.

12. Neither party may assign its rights or obligations hereunder without the prior written consent of the other party. Any purported assignment in violation of this Section shall be null and void. No assignment shall relieve the assigning party of any of its obligations hereunder.

13. These Terms and Conditions form the entire agreement between Client and La Vestalia, and may not be modifi ed by any oral agreement, text message, or email; and can only be amended by a written document expressly modifying the terms hereof and signed by La Vestalia and Client. No waiver of any provision hereof shall be effective unless set forth in writing and signed by the party so waiving. No failure to exercise, or delay in exercising, any right or remedy arising hereunder shall operate as a waiver thereof; nor shall any single or partial exercise of any right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy.

14. These terms and conditions and the Services provided are governed by Texas law. Venue for any action or proceeding arising hereunder or related to the Services shall lie in the state courts of Montgomery County, Texas.

15. La Vestalia and its personnel are independent contractors, and there is no employer-employee, partnership or joint venture relationship between La Vestalia and Client.

16. Client must provide at least twenty-four (24) hours’ notice to La Vestalia to cancel or reschedule an appointment. A cancellation fee of $150.00 USD is due from Client if notice is not given within the required timeframe.
